Referral Programme 

The referral programme is aimed at individuals or companies who wish to act as agents for the sale of Ludus licences, providing qualified leads and earning commission on each Ludus licence sold. It does not apply to hardware or other services or products. 

The process 

  1. 1. Registration of the form and approval of the programme's terms and conditions. 
  2. 2. Once the referred prospect is received, Ludus must confirm via email whether it is approved or whether there is already an open opportunity with that referred customer.
  3. 3. Approval of the prospect.
  4. 4. The referral is contacted and the person who referred them is copied in.
  1. 5. Commercial process.
  2. 6. Purchase of licence by the client.
  3. 7. Once payment is received from the client.
  4. 8. Commission payment is made to the referrer, under the agreed terms.

Terms and conditions of the programme

Scope and benefits 

  • Registration of referrals
    The referrer will register referrals using a form, which must be completed and approved as a valid prospect.
    Ludus will review the referred prospect and send an approval via email to the referral confirming that the prospect is available and that the sales process can continue.

    If the referral is from a country or region where Ludus does not currently have a physical presence, support or after-sales service, this service will be provided remotely in Spanish or English.
  • Commission
    10% commission on initial software sales (licences).

    Does not apply to hardware, ad-hoc development sales or other services that Ludus may offer.
  • Commission payment
    Ludus will confirm via email that a sale has been closed and the value of the commission. Commission payment to the referral will be made in the following fiscal quarter once full payment has been received from the customer. (If an open account is received, payment will be made once the money has been disbursed to Ludus).

    Payment will be made on the 15th of each month.
    The closure of the registered customer will generate commission for the referral as long as the deal is closed within the first 12 months of registration. To this end, Ludus undertakes to contact the lead within a maximum of 7 days after the prospect has been approved.
  • Licence renewal
    The referral is not entitled to commission on licence renewals or upselling.
  • After-sales
    Ludus is responsible for after-sales and expansion.

Criteria for qualifying a valid prospect 

A prospect must have the following characteristics and must be a new prospect (not already in the Ludus CRM). Once the prospect has been received, Ludus will notify the referral whether it is valid or not and the reasons why. 
  • Real contact details (name, corporate email, telephone number)
  • Type of Ludus Global customer related to the area of HSE or occupational risks.
    - Large company with its own prevention service (internal trainers)
    - Risk consultancy or certification company (external prevention service)
  • Position: Decision-makers or influencers
  • The company must have an interest in learning about Ludus and its implementation.
  • The referrer must have a relationship with the prospect, whether commercial or similar.
  • Contacts sent by the referrer will be the property of Ludus for renewals, expansions or marketing campaigns.

Ludus' obligations 

  • Ludus undertakes to pay the referrer's remuneration in accordance with the agreed terms.
  • Ludus is responsible for sales and after-sales.
  • Ludus undertakes to inform the referrer once the sale has been approved.
  • Referral obligations.
  • The referral undertakes to comply with the minimum qualification requirements for the prospect.
  • The referral must register the lead with accurate information and taking into account the qualification criteria for a Ludus prospect.

Duration 

The referral programme has no duration; the referral may send referrals following the established process and in accordance with the terms thereof. 

Either party may decide to discontinue the programme at any time by sending notification via email. 

If the referrer has sent referrals that have progressed, this will be respected. 

Terminology 

Referrer: Person or company that refers potential customers. 
Prospect/lead/Referral: Company or person referred as a potential Ludus customer. 

Intellectual property rights 

All intellectual property rights inherent in or associated with the Software Products – including, but not limited to, design, architecture, algorithms, programming, interfaces, source code, user manuals, tutorial videos and technical/commercial documentation – as well as those relating to any updates, developments or improvements that LUDUS implements on them, belong and will belong at all times to LUDUS on an exclusive basis. Likewise, all intellectual property rights relating to improvements or any other Software Products that may be developed in the future shall belong to LUDUS, without it being understood that any suggestions or ideas that the collaborator may provide to LUDUS confer any rights over them. 

The collaborator undertakes to recognise and respect LUDUS' intellectual property rights at all times and not to take any action that would limit, appropriate or infringe upon its rights. In particular, the collaborator may not remove, delete or hide any copyright notice, logo, trademark or warning that LUDUS has incorporated into the Software Products or in the accompanying documentation and, when promoting the services provided through the Software Products, the collaborator undertakes to expressly warn that the Software Products and associated technology are the property of LUDUS. The collaborator shall refrain from any action that may harm or damage the image, reputation or brand of LUDUS. 

Trademark rights 

Commercial resources 

If the referral so wishes, Ludus will provide them with some standard commercial materials that the referral may not modify. 

Use of logos, promotion or similar: The referral may promote Ludus at their own expense using the distinctive Referral logo. 

Financial conditions 

In return for the provision of their services, LUDUS will pay the Collaborator a remuneration, in the form of a commission, for the commercial opportunities that LUDUS effectively concludes as a result of the referral services provided by the Collaborator. 

In order for the commissions to accrue in favour of the Collaborator, it shall be an essential requirement that (i) the commercial opportunity has been captured and identified by the Collaborator and previously communicated to LUDUS in accordance with the terms of this agreement and (ii) the referral services provided by the Collaborator have been effectively materialised through the Ludus payment gateway. 

No commissions shall accrue in favour of the Collaborator when, at the time the Collaborator informs LUDUS of a potential business opportunity or introduces a potential customer interested in contracting its Products, said potential customer is at that time in discussions with LUDUS or is at that time or has previously been a customer of LUDUS, provided that LUDUS has informed the Collaborator of this circumstance in writing for the purpose of excluding it from the scope of the Contract.
